Luis is a senior associate in the Corporate, Mergers and Acquisitions (M&A) and Private Equity department in the Madrid office.

He advises a broad range of clients across various industries—including technology, industrial, and business services—both domestic and international, on M&A transactions. 

Luis has worked with private equity firms as well as large multinational corporations seeking to expand their operations in Spain. He also provides counsel on cross-border mergers and acquisitions, particularly involving Latin America, and has advised private equity managers on compliance with Spanish regulations.

In addition, he offers general corporate advice and ongoing corporate services to national and international companies.

EXPERIENCE

  • Advising LC Asset 2 on the acquisition of a portfolio of non-performing loans, both secured and unsecured, from Bankinter.
  • Advising a video game developer on the acquisition of the shares of a Spanish entity that had previously acquired, as a going concern, all assets, rights, and obligations, as well as all personnel necessary for the development of a mobile game. We provided support on corporate, labor, IP, and tax matters.
  • Advising Bullhound Capital on the acquisition of a minority stake in Multiverse Computing SL through the subscription of newly issued shares. Our team participated in all phases of the process, from the due diligence report to the transaction documents and closing, including the formalization of the investment agreement.
  • Advising Nobis Capital on the acquisition of Leaseir Group.
  • Advising BNKBL Ltd on the acquisition of the entire share capital of an integrated financial platform (incorporated in Ireland) along with its subsidiaries in the United Kingdom, Spain, and Ireland, for the issuance and allocation of shares in consideration to the client. The transaction also included the innovation of various promissory notes.
  • Advising Tozzi Green S.p.A. in a joint venture with the Spanish developer Altec/Valtia. The agreement includes the joint development of wind farms with a capacity of up to 150 MWp.
