Mona is a senior corporate lawyer with a broad range of experience working in the hospitality, asset management and IT sectors for Middle Eastern, APAC and American clients. Mona’s experience includes provision of structuring advice, drafting, negotiating and reviewing transaction documents (NDAs, LOIs, SPAs, SHAs, JVAs etc) and supervising due diligence.

EXPERIENCE

  • Advising ASX-listed entity on the carving out and subsequent IPO / private placement of its serviced offices business in the Middle East, India and Africa.
  • Advising ENBD REIT on complex re-domiciliation, IPO and associated USD105 m fundraising on Nasdaq Dubai.
  • Advising regional investment bank on a secondary listing on Nasdaq Dubai of an EGX-listed Exchange Traded Fund, including comparative analysis of listing regimes.
  • Advising ENBD REIT (CEIC) PLC, a Nasdaq Dubai-listed public property fund, in relation to a share buy-back program, a number of reductions of share capital (including the first court-approved share capital reduction in the DIFC), its annual general meetings and regulatory obligations.
  • Advising Emirates REIT’s IPO and over USD200m fundraising on Nasdaq Dubai, the first REIT listing in the MENA Region – Equity Deal of the Year, IFLR Middle East Awards 2014.
  • Advising Winlogic Plc on the IPO of its online casino and gaming company on the AQSE (then ISDX Growth Market).
  • Advising regional asset manager on the establishment and IPO of a Real Estate Investment Trust on the Dubai Financial Market.
  • Advising Red Sea Housing, a Saudi Arabian-owned building services group, on its acquisition of a Malaysian manufacturer of pre-fabricated housing.
  • Advising founder-sellers in the sale of a Dubai-based soft play business to Marka PJSC, a UAE-based retail and hospitality company listed on the Dubai Financial Market.
