This one day conference, hosted at our London office, will provide you with the tools needed to respond to the key legal, communication, employee wellbeing and other business issues that typically arise when implementing a multi-jurisdictional restructuring programme, as well as the opportunity to explore the cultural and local law differences.

The conference will be broken down into three parts, Planning, Preparation & Implementation, and will refer to a case study throughout to help bring the issues to life.

  • Planning- introduces the case study and focuses on the importance of planning, realistic timelines and the key issues that can arise if you do not plan correctly;
  • Preparation- focuses on the importance of good due diligence, tips on how to successfully navigate multiple legal systems, cultural differences & logistical challenges;
  • Implementation- identifies some of the legal, reputational and employee retention challenges arising out of implementation.

We shall also be running dedicated clinics with local counsel with a deeper dive on particular countries and we will be hearing from our panel of non-lawyer experts on some of the other important considerations for ensuring as smooth an outcome as possible.

In this session, we will be looking at the big picture and all of the non-legal issues that need to be factored in at the outset, including setting the right strategy to achieve your business objectives, managing communication, employee wellbeing and reputational risks and handling the logistical and other practical challenges that arise on implementation, including through the use of non-traditional legal resources.

11:15am -  Managing a multi-jurisdictional restructure – Case Study Part 1: Planning

In this session, we will introduce our case study and focus on the importance of project planning, including ensuring that key stakeholders are engaged and aligned on the strategy, with a realistic timeline and sophisticated understanding of the risks and potential obstacles that will need to be successfully navigated.

1:15pm - Managing a cross-border restructuring exercise - Case Study Part 2: Preparation

In this session, we will look at all of the practical and logistical factors that need to be considered when preparing the business for the restructuring exercise, including conducting thorough due diligence of data and documents, preparing talking points, project plans, notifications, dismissal letters and other key documents. At this stage, it is very important to have a clear view as to precisely which employees are in scope and to have validated records where there are inconsistencies. There are cultural sensitivities and formalities that need to be followed if a business is to avoid the risk of the dismissals being declared invalid.

In this session, we will cover the key legal principles that are strictly speaking required, as well as the workarounds that are often deployed in practice.

In this session, we will explore what can go wrong and what you can do to ensure that you are able to respond to these curve balls with speed and agility to ensure that the restructuring exercise remains on track.
