Brian Cadousteau concentrates in securities and corporate finance, mergers and acquisitions and general corporate counseling, with an emphasis on the representation of emerging growth companies and venture capital firms.
In addition to advising clients on general corporate governance matters, Brian has experience in entity formations, venture capital financings, mergers and acquisitions and venture capital fund formation and operational matters. He represents early stage, venture-backed and public companies, as well as venture capital funds and other corporate investors and acquirers. He also advises on the federal income tax aspects of executive compensation matters, including non-qualified deferred compensation arrangements (Section 409A) and golden parachute payments (Section 280G).
