About

Silvia is a banking and finance lawyer with over 15 years’ experience in advising banks and domestic and international investors on project, real estate and acquisition financing and non performing loans and debt restructuring deal. She is legal director of Finance, Project & Restructuring department in Milan and actively member of the energy and real estate sector in Italy.

Silvia is dual qualified lawyer in Italy and New York and pursued a Master of Laws (LL.M.) degree at Berkeley School of Law, California.

She is particularly experienced in the complex infrastructure and energy transaction (with specific focus on photovoltaic, wind and hydro projects) assisting financial institutions and domestic and foreign investors in each aspect of such transactions (i.e. development, due diligence and financing documentation). She also assist clients in relation to the acquisition of energy projects as well as the negotiation and drafting of commercial agreements (e.g. EPC, O&M and PPA) in respect of development, construction and operational energy projects.

EXPERIENCE

  • Assistance to a pool of lenders (Natixis, Unicredit and Generali Global Infrastructure -acting through GGI Senior Infrastructure Debt Fund SICAV RAIF SCA II, GGI Senior Infrastructure Debt S.C.A. SICAV RAIF e Baloise Private Assets S.C.S., SICAV RAIF, on behalf of the sub-fund “Baloise Qualified Infrastructure Debt Fund I”) in relation to the financing transition for an overall amount of about Euro 400 million in favour of WT2 Senior (belonging to the Obton group) aimed at refinancing existing indebtedness of 80 SPVs (owing of about 144 PV plants in Italy for an aggregate power capacity of approximately 116 MW) and at financing a portion of the capex expenditures of the PV plants.
  • Assistance to a pool of lenders (Natixis S.A.-Milan Branch and MPS Capital Services Banca per le Imprese S.p.A.) in relation to about Euro 20,5 million facilities agreement for the purposes of acquisition of a joint-stock company; and about Euro 79 million facilities agreement for the purposes of refinancing a wind farm portfolio consisting of 18 assets with an aggregate capacity of 123.9 MW.
  • Assistance to Sungem Holding Italy S.p.A. (Amplio Group) in relation to a refinancing transaction structured as a combination of a project financing (about Euro 17 million) and project bond (about Euro 70 million) in relation to a portfolio of photovoltaic plants of about 31 MW owned by eight SPVs.
  • Assistance to the real estate AIF named "Urban Regeneration Fund" managed by Savills SGR S.p.A. and invested by JP Morgan in relation to the financing transaction of about Euro 100 million aimed at the acquisition and renovation works of an iconic real estate complex located in Rome.
  • Assistance to the multi-compartment investment fund in relation to a financing transaction of about 180 million aimed at acquisition and renovation works of a real estate portfolio located in various region of Italy.
  • Assistance to UBI Banca and Banco BPM in relation to a financing transaction aimed at addressing corporate need of a real estate fund “Pegasus” (managed by Kryalos SGR) in the context of a complex acquisition transactions of real estate portfolio of about 400 million.
  • Assistance to UBI Banca in relation to a financing transaction of about Euro 16 million in favour of real estate fund “Asci – Abitare Sostenibile Centro Italia – Fondo Comune di Investimento Immobiliare con Finalità Sociali di Tipo Chiuso” (managed by Prelios SGR), aimed at development of four real estate assets with social housing purposes.
