DLA Piper advises BNP Paribas, HSBC and UniCredit on EUR200m capital increase of Nordex SE
DLA Piper has advised BNP Paribas, HSBC Trinkaus & Burkhardt AG and UniCredit Bank AG as joint global coordinators and joint bookrunners on the successful capital increase of Nordex SE. A total of 10,668,068 new shares were placed at a price of EUR18.90 per share. The gross issue proceeds from the capital increase amount to around EUR201 million. The new shares carry dividend rights for the fiscal year 2020. The shares originate from a capital increase from authorized capital and were placed with institutional investors in an international private placement via an accelerated bookbuilding procedure, including placement with qualified institutional buyers in the US according to Rule 144A under the US Securities Act. Acciona S.A., anchor shareholder of Nordex SE, participated in the capital increase and subscribed for new shares.
The new shares will be admitted to trading on the regulated market without a prospectus and simultaneously to the sub-segment of the regulated market with additional post-admission obligations (Prime Standard) of the Frankfurt Stock Exchange. Following settlement of the placement, Nordex SE will be subject to a standard lock-up obligation of three months. The first day of trading of the new shares and settlement of the transaction are expected to take place on December 4, 2020.
The Nordex Group, which is engaged in the development, production, project development and maintenance of wind power systems in the onshore segment, has installed over 30 GW of wind power capacity in over 40 markets and achieved sales of around EUR3.3 billion in 2019. The company currently employs more than 8,400 people. The manufacturing network includes plants in Germany, Spain, Brazil, the USA, India, Argentina and Mexico. The product range focuses on onshore turbines in the 2.4 to 5+ MW segment, which are designed to meet the market requirements of countries with limited expansion areas and regions with limited grid capacities.
