DLA Piper advises OCU Group management on exit to TDR Capital

Global law firm DLA Piper has advised the management team of OCU Group, a leading energy transformation and critical infrastructure services platform, on the agreement for funds managed by TDR Capital to acquire the business from Triton Partners.

Today, OCU Group employs more than 2,500 people and has a total workforce of over 5,500 across the UK, Australia, New Zealand and India. In the financial year to April 30, 2026, OCU generated revenue of GBP1.2 billion up from GBP295 million in the year to April 2022, while its order book has surpassed GBP4 billion.

Private Equity partners Tim Wright and Ben Collins led the DLA Piper team advising OCU, with support from Tax partner, Gareth Amdor and Matty Manwaring, associate in the Corporate practice.

The DLA Piper Private Equity team has now advised more than a dozen management teams in the last 12 months, with an aggregate deal value in excess of EUR10 billion.

Ryan Harrison, client relationship lead for OCU, commented, “We have been working with the OCU management team for a number of years now – advising on numerous bolt-on acquisitions across the UK (led by Noel Haywood) and Australia (led by Lyndon Masters). We are delighted to have been able to continue that working relationship and advise the team on this incredibly exciting transaction – we look forward to seeing the business go from strength to strength under TDR’s ownership.”

The transaction remains subject to customary regulatory approvals.
