Alicja Ciebiera advises on banking law, civil law and commercial law.

She supports clients in real estate financing, debt refinancing, corporate finance and project finance - particularly in the renewable energy sector. She advises Polish and foreign banks, financial institutions, private equity funds, banking syndicates and borrowers on domestic and cross-border transactions.

Alicja prepares and negotiates facility documents, including LMA standard loan documentation, term sheets and security documents, as well as drafting legal opinions, conducting due diligence reviews of documents connected with financial indebtedness, and overseeing the satisfaction of conditions precedent to facility drawdowns.

EXPERIENCE

  • Advising the Malaysian sovereign welfare fund, as the borrower, on the refinancing of two office buildings in Warsaw (Gdański Business Center C and D) and a shopping centre in Katowice (Galeria Katowicka) by a syndicate of Asian banks. This complex transaction, valued at approximately EUR328 million, involved coordinating from Poland the work of English, Luxembourg and Malaysian legal and tax advisors.
  • Advising an Asian welfare fund, as the borrower, on the refinancing of the top-tier shopping centre Galeria Katowicka and of Gdanski Business Centre C and D, prime office buildings in Warsaw, by Standard Chartered Bank (transaction value: EUR328 million).
  • Advising PKO Bank Polski S.A. and ING Bank Śląski S.A., as the lenders, on the refinancing of a portfolio of ten existing student housing properties owned by Student Depot in Lublin, Łódź, Wrocław, Poznań, Warsaw, Gdańsk, and Kraków, and one student housing property to be developed by Student Depot in Gdańsk (transaction value: PLN770 million).
  • Advising PKO Bank Polski S.A., as the lender, on the financing of the construction of a PRS portfolio owned by Life Spot (Griffin Group) in Warsaw and Krakow (transaction value: PLN300 million).
  • Advising the consortium of three banks (Bank Pekao S.A., Santander Bank Polska S.A. and BNP Paribas S.A.) on the PLN613.5 million financing granted for the construction of residential buildings in Wrocław, Poznań and Gdańsk by “RESI4RENT” (Griffin Group).
  • Advising Santander Bank Polska S.A. and Powszechna Kasa Oszczędności Bank Polski S.A., as the lenders, on the refinancing of a portfolio of seven existing student accommodation properties owned by Student Depot in Lublin, Łódź, Poznań, Wrocław, Warszawa, Gdańsk and Kraków, and one student accommodation property to be developed by Student Depot in Poznań (transaction value: PLN260 million).
  • Advising Powszechna Kasa Oszczędności Bank Polski S.A., as the lender, on the refinancing of a portfolio of four existing PRS locations owned by Life Spot (Griffin Group) in Warsaw, Łódź, Gdynia and Wrocław (transaction value: PLN300 millon).
  • Advising Bank Pekao S.A., as the lender, on PLN244 million financing to be provided to three separate entities incorporated under Luxembourg law (Griffin Group) for the purpose of constructing a portfolio of three student housing facilities located in Gdańsk and Warsaw.
  • Advising a consortium of banks (Santander Bank Polska S.A. and Landesbank Hessen-Thüringen) on a loan facility granted to “Resi4Rent” for the construction of a portfolio of residential projects for rent in Warsaw, Wroclaw, Gdańsk, Kraków and Łódź (transaction value: PLN338 million).
  • Advising Bank Polska Kasa Opieki S.A. on a PLN139 million financing granted to Life Spot (Griffin Group) for the construction of long-term rental apartments in Warsaw. The financing was subsequently increased by an additional construction facility of PLN284 million for two new PRS projects in Kraków.
  • Advising Bank Pekao S.A., the lender, on the financing of a portfolio of self-service storage facilities owned by the Griffin Group in four locations in Warsaw and Krakow (transaction value: PLN85.8 million).
  • Advising an Irish investment fund, supported by the European Investment Bank and the European Commission's LIFE programme, acting as the lender, on providing financing for one of Poland's largest, single-location, onsite PV projects to a Polish PV farm developer by way of a receivables purchase agreement.
  • Advising Phoenix, an Israeli mezzanine lender, on a convertible loan granted to an international RES producer and operator for the construction of a 51 MW PW farm in Poland and further advice on the financing by Powszechna Kasa Oszczędności Bank Polski S.A. of a PV project (installed capacity of 51.71 MWp).
  • Advising eight special purpose vehicles (SPVs) from the Pad-Res group, as borrowers, on the project financing of a portfolio comprising 13 PV projects across Poland, with a total installed capacity of 60.45 MW. The financing of PLN107.1 million was provided by Bank Millennium S.A.
  • Advising an RES developer on obtaining a loan from the Polish Development Fund for the construction, operation and maintenance of wind power plants in Poland.
