Rosa specialises in advising clients on equity capital markets transactions and public and private mergers and acquisitions. She has played a key role in several high-profile IPOs and capital raising initiatives within the Australian market.

With deep expertise in Australian and international securities law, Rosa advises both ASX-listed companies and foreign entities on capital raising, corporate governance, compliance with ASX Listing Rules, and other regulatory matters. She also works closely with investment banks and corporate advisory firms, guiding them through their roles as lead managers and underwriters for capital markets transactions.

EXPERIENCE

  • Advising SDI Limited, an Australian manufacturer and global distributor of specialist dental materials, on its acquisition by InnoXvest Dental (an entity controlled by Shenzen Stock Exchange listed Shandong Sinocera Functional Material Co. Ltd, for USD1.40 per SDI share.
  • Advising Whitefield Income Limited, an ASX listed investment company, on its entitlement offer which raised AUD108m and was offer managed by Morgans Financial, Taylor Collison, Ord Minnett, Commonwealth Securities, Canaccord Genuity and Shaw and Partner.
  • Advising Bank of Montreal, a highly diversified financial services provider based in North America, on its agreement to acquire the capital markets business of Euroz Hartleys for AUD145m (expected to complete in November / December 2026).
  • Advising Macquarie Technology Group Limited, on its AUD200m investment by National Reconstruction Fund Corporation by the issue of hybrid securities in the form of perpetual, callable, subordinated, unsecured and non-convertible securities.
  • Advising Viridian Financial Group, an Australian diversified financial services and wealth management group, on its two inter-conditional schemes of arrangement as part of the acquisition by TA Associates of all of the issued share capital in Viridian.
  • Advising Prophecy International on its proposed all-scrip merger with Complexica, an AI software provider for supply chain optimisation (ultimately terminated).
  • Advising Cobram Estate, a global producer and marketer of premium extra virgin olive oil, on its AUD175m capital raising by way of institutional placement together with a share purchase plan with proceeds raised used to partially fund the company's US expansion plans.
  • Advising Mercer Investments (Australia) Limited on its investment in a Macquarie Asset Management-led consortium in relation to its acquisition of Qube Holdings Limited by way of scheme of arrangement for approximately AUD11.7bn.
