Real estate finance at institutional scale

In an evolving credit landscape marked by volatility, regulatory pressure, and shifting capital sources, real estate finance has become more complex. Transactions demand technical precision and a deep understanding of market dynamics, risk allocation, and capital structure across origination, execution, and monetization.

DLA Piper’s Real Estate Finance team advises lenders, debt funds, insurance companies, investment banks, and institutional investors on sophisticated financing, refinancing, and restructuring transactions across asset classes and geographies. We are trusted on high value, high stakes matters, often through repeat engagements for the same institutional capital providers, where execution certainty and risk management are critical.

We represent clients across the capital stack on the origination, acquisition, and disposition of mortgage, mezzanine, and structured debt, as well as preferred equity and hybrid financing arrangements. Our experience includes construction, bridge, and permanent financings; single asset and portfolio loans; balance sheet insurance company lending; and complex capital markets and securitized transactions.

Clients rely on us for transactions involving complex capital stacks and multiple stakeholders. We regularly advise on intercreditor arrangements, co lending and participation structures, and multi tranche financings, helping clients protect priority, preserve flexibility, and manage downside risk.

Our work extends through the full life of a loan. We are frequently engaged on loan modifications, workouts, restructurings, and distressed situations, including deed in lieu transactions, foreclosures, note sales, and recapitalizations. Working alongside our restructuring, bankruptcy, tax, and litigation colleagues, we help clients execute decisive strategies in compressed and high pressure situations.

The team brings deep experience across office, multifamily, industrial, logistics, hospitality, mixed use, life sciences, senior housing, and other specialized asset classes. We regularly advise on cross border financings and support both U.S. and non U.S. capital providers investing in domestic assets, with particular experience representing insurance companies and overseas institutional lenders.

Across jurisdictions and practices, we deliver commercially focused advice that aligns legal execution with investment objectives, enabling clients to deploy capital efficiently, manage risk proactively, and navigate market volatility with confidence.
