Alex Cavayero focuses on a wide range of complex corporate transactions, including advising sponsors, global asset managers, strategic investors, and their portfolio companies in connection with bespoke equity and hybrid capital solutions across the investment lifecycle, including preferred and structured equity financings, divestitures, joint ventures, private company acquisitions and other general corporate and governance matters.

Alex has significant experience advising clients on all aspects of a transaction, including providing counsel on negotiating and structuring deals, transactional and operational agreements, as well as the go-forward operation of companies.

  • Represented a leading private investment firm in:
    • A preferred equity investment alongside a lead sponsor in a privately held food company that develops, packages and distributes high quality, shelf-stable, refrigerated and frozen foods, sauces and condiments for branded food companies, government agencies, educational institutions and other customers
    • An investment, split between mezzanine debt and common equity, alongside a consumer brand investment platform for the acquisition of the intellectual property assets of a casual dining restaurant chain
  • Represented a private equity sponsor in its $300 million divesture of its commercial metal forming portfolio company
  • Represented a syndicate of lenders in a debt and equity financing restructuring
  • Represented a leading private investment firm in an equity investment financing of a battery energy storage joint venture
  • Represented a leading venture capital and growth equity investment firm in:
    • A Series B preferred equity investment in a space capsule materials and manufacturing company
    • A Series B preferred equity investment in an end-to-end ground infrastructure provider for space missions company
  • Represented a leading private equity firm in a $500 million acquisition of a water treatment company
  • Represented a leading private equity firm in a $1.5 billion acquisition of a US-based health information network company
  • Represented a family investment office and an NFL sports team in connection with a $300 million acquisition of a majority ownership steak in a Championship League team
  • Represented a high net worth individual and his sports investment fund in connection with a $900 million majority investment in several European soccer teams
