About

Louise Hennessey specialises in debt capital markets transactions, acting for issuers, arrangers, dealers and trustees on a wide range of domestic and cross-border structured, Islamic and conventional debt capital markets transactions, with a particular focus on social housing bond finance and emerging markets bond issuances. Louise also acts for issuers, dealer managers and trustees on liability management transactions.

Having been based in Dubai, London, Singapore and Tokyo during her career as a DCM lawyer, Louise quickly adapts to the differing working practices of her clients and is particularly experienced in working with first-time issuers in the debt capital markets.

EXPERIENCE

  • Advising issuers, arrangers and dealers on standalone bond issuances and EMTN/GMTN programme establishments, updates and drawdowns in multiple jurisdictions including the UK, Turkey, South Africa, Poland, Hungary, Czech Republic, Greece, Spain, Sweden, Denmark. Most recently, Louise has advised Optima Bank Greece on the establishment of its EUR500m EMTN programme and issuance of EUR150m Tier 2 Reset Notes due 2035 thereunder and MFB (the Hungarian Development Bank) on its standalone issuance of EUR1bn 4.375% Notes due 2030.
  • Advising issuers, trustees and dealer managers in respect of consent solicitations, tender offers and exchange offers, including, most recently, on a successful consent solicitation by Brait plc in respect of its convertible bonds and on a successful exchange offer by Sacyr S.A. in respect of two series of Notes issued under its EMTN programme.
  • Advising issuers and arrangers on regulatory capital bond issuances in multiple jurisdictions including the UK, South Africa, Greece and Turkey.
  • Advising on the establishment of, and drawdowns under, Islamic MTN programmes and standalone sukuk issuances.
  • Advising social housing providers (and arrangers and dealers in respect of DCM transactions relating to social housing providers) on EMTN programme establishments, updates and drawdowns thereunder and standalone bond issues to provide funding for the provision of social housing across the UK.
  • Advising on covered bond programmes in multiple jurisdictions including market firsts in Romania and Singapore.
  • Advising on private placements to multilateral investors with specific ESG criteria (including EIB, EIG, EBRD and IFC).
