Dillon Guthrie represents financial institutions, technology companies, investment firms, and other businesses in regulatory, investigative, and transactional matters.

Dillon's regulatory practice spans US and cross-border regimes, with a focus on banking, financial crimes, and digital assets. Dillon counsels domestic and international financial institutions on a range of regulatory and supervisory questions, including those involving control, permissible activities, and charter applications. He also provides guidance to clients navigating cross-border and national security concerns, such as anti-money laundering and sanctions compliance, countering the financing of terrorism, cyber risk, fraud, and other financial crimes. Dillon advises banks and financial technology companies in developing digital asset, international payment, and artificial intelligence solutions.

Dillon is frequently called upon to represent clients in investigations, internal and congressional inquiries, enforcement actions, and corporate governance matters. He represents clients before the Federal Reserve, Financial Crimes Enforcement Network, Office of Foreign Assets Control, Securities and Exchange Commission, various congressional committees, and other governmental authorities. Dillon advises bank and other corporate boards of directors, audit and special committees, individual directors, and senior management on issues that include alleged fraud, conflicts of interest, and ineffective internal controls and risk management practices. Dillon has also assisted clients in responding to outages, cyber breaches, and other security incidents, including those involving wire fraud and other illicit finance.

In the transactional area, Dillon advises public and private companies on mergers and acquisitions, capital markets transactions, early-stage investments, and other corporate and technology arrangements. His experience includes acquisitions and dispositions, spin-offs, joint ventures, restructurings, and financings in the energy, defense, semiconductor, and banking sectors. Dillon also has advised clients in responding to shareholder proposals and unsolicited bids, designing shareholder rights plans, and complying with the securities laws.

Prior Experience

Prior to joining DLA Piper, Dillon served as a counsel at the Federal Reserve Bank of New York and practiced at another leading international law firm. Earlier, Dillon was an advisor on the US Senate Committee on Foreign Relations and a foreign policy and national security legislative aide to Senator John Kerry.
