Jessica McKinney advises asset management and private fund advisers on legal, regulatory, and compliance matters. Her practice primarily focuses on sponsor-side fund formation, with a focus on regulatory compliance.
Jessica's practice covers the formation and ongoing operations of private investment funds across asset classes, including private equity, venture capital, private credit, real estate, and alternative investments. She works with both established fund managers and first-time sponsors on fund formation documents such as operating agreements, disclosure materials, and subscription agreements, as well as ongoing operational matters, including regulatory compliance.
In addition to her sponsor-side work, Jessica has extensive experience representing investment advisers in connection with a broad range of regulatory matters under the Investment Advisers Act, including registration (or exemption therefrom), ongoing operational and compliance matters, the establishment of a US presence by non-US firms, and examinations by the Securities and Exchange Commission (SEC) and state securities regulators.
Jessica is a frequent author on topics pertaining to private funds, investment advisers, and the regulatory environment in general. Prior to joining the firm, Jessica served as Special Counsel in the US Securities and Exchange Commission's Office of the Advocate for Small Business Capital Formation. During her time at the SEC, Jessica worked to advocate for small businesses and their investors from startup to small cap, with a focus on issues facing investors who pool capital through venture and other funds.
