About

Sarah is a Legal Director in our Corporate Group.

She advises on all areas of corporate law and practice, with a particular focus on international M&A, advising global businesses on cross-border transactions and coordinating large multi-jurisdictional due diligence projects. She also regularly advises on disposals, investments, joint ventures, shareholder arrangements and general constitutional and corporate governance matters. Sarah also has significant experience in acting for large corporate groups on international reorganisation projects.

Sarah's work spans many sectors, largely concentrating on Energy & Natural Resources.

EXPERIENCE

Sarah's recent experience includes advising:

International M&A

  • Stonepeak, a leading alternative investment firm, on its proposed acquisition of a majority controlling interest in Castrol, a global leader in lubricants, from BP p.l.c. The transaction values the Castrol business at an enterprise value of approximately USD10.1 billion and is expected to close by the end of 2026, subject to customary regulatory approvals.
  • Dentsu, leading global marketing and advertising network, on its USD678 million acquisition of global omnichannel marketing production company Tag Worldwide Holdings (June 2023)
  • Philip Morris International Inc. on its USD16 billion takeover of Swedish Match (November 2022)
  • GE (as part of a large multi-jurisdictional DLA team) on various corporate reorganisations and disposals, including the spin-off of GE Healthcare (January 2022) and GE Vernova, GE's energy business (April 2024), and the sale of its Biopharma division to Danaher (USD21 billion) (March 2020)

  • National Grid on its exit from the Humber CCUS Project and transfer of related assets (January 2024)
  • Valeura Energy on the acquisition of the upstream oil producing portfolio of Busrakham Oil and Gas from Mubadala Petroleum (Thailand) Holdings (GBP150m) (December 2022)
  • Valeura Energy on the acquisition of the entire issued share capital of KrisEnergy International (Thailand) Holdings Ltd from Krisenergy (Asia) Ltd by Panthera Resources (USD10m) (June 2022)
  • Uniper Energy on its energy joint venture with Javelin Commodities, and its ultimate exit from the JV (August 2022)
  • EnergyTag, an independent, non-profit initiative seeking to define and build a market for Granular Certificates, on its structure and corporate governance matters
