Rebecca Williams is an experienced asset finance lawyer advising banks, specialist asset finance providers, funds, lessees and intermediaries across a range of domestic and cross-border asset finance arrangements.

Rebecca provides transactional, structuring and strategic advice to her clients, helping them find commercial and robust solutions to handle matters.

Rebecca routinely advises on arrangements involving equipment leases, debt finance (bilateral and syndicated), receivables finance, block discounting, vendor finance and stocking finance. She also advises clients on the sale and purchase of lease books and matters involving Sharia'a compliant finance.

Rebecca's work spans a variety of asset classes including construction equipment, commercial vehicles, software and energy, data centre and IT assets and manufacturing, materials handling and rail assets. Rebecca's sector experience spans financial services, energy, manufacturing, transport and data centres.

Rebecca was shortlisted for the Best Client Partner award at the British Legal Awards 2014 and was also recognised in Acritas Stars in 2017.

EXPERIENCE

  • Advised a finance provider in relation to its wholesale funding arrangements involving a £30m revolving borrowing base facility.
  • Advised an international bank in connection with the purchase of receivables arising under energy management agreements (combined heat and power underlying technology) and the subsequent sale of those receivables to a pension fund.
  • Advised a European bank in relation to its vendor finance programme with a major software provider.
  • Advised a leasing company on the exit of a lease arrangement for high value assets.  
  • Advised a European bank in relation to its vendor finance programme with a major software provider.
  • Advised the finance division of a car manufacturer in relation to stocking plan agreements and LIBOR related interest rate changes across those agreements. 
  • Advised various funders in relation to the drafting of standard form document suites including leases, loans and security documents. 
  • Advised various funders in relation to the ""fundability"" of agreements forming part of receivables programmes (including block discounting). 
  • Advised the finance division of a car manufacturer acquiring a third party vehicle finance company with specific reference to migrating or exiting existing finance facilities within the target and completion arrangements in relation to those facilities; this advice was delivered as part of a broader team advising on the acquisition.
  • Advised a European bank in relation to funding receivables arising out of IT services and data storage agreements.
  • Advised a mass media company on structuring its domestic and European leasing arrangements for core broadcasting and operating equipment and negotiating the agreements.
