Todd Eisner focuses his practice on all aspects of real estate transactions, such as sales, acquisitions, ground leasing, borrower-side financings, and development projects on a national basis. His clients often come to him to act as lead counsel on their more complex and high-profile transactions involving major players. Todd is widely known as one of the industry's leaders in structuring and negotiating sophisticated real estate joint ventures, frequently representing opportunistic investment funds, hedge funds, General Partner (GP) capital funds, developers, operators, start-ups, family offices, and high net worth individuals. Todd handles all aspects of hotel acquisitions and dispositions and has been lead counsel on numerous hotel portfolio transactions.

Throughout market downturns over the years, Todd leveraged his skills to serve as a trusted advisor to his clients in navigating workouts and restructurings often involving creative, out-of-the-box solutions, as well as purchasing, selling, and repositioning the capital stacks of distressed properties. Todd has diversified his experience by representing numerous non-real estate businesses on their real estate matters, often involving the clients' flagship and trophy locations.

  • Represented a hedge fund regarding its investment in mobile home parks and manufactured home communities throughout the US valued at approximately US$800 million
  • Represented a publicly traded real estate investment trust (REIT) in the acquisition, financing, and joint venture structuring of approximately 100 hotels throughout the US valued in excess of US$1 billion
  • Represented a GP capital fund in all aspects of a preferred equity investment and development of a high-end branded residence transaction
  • Represented an investment fund manager and a national developer in the restructuring of ground leased and fee-owned properties for a major retail, office, and public transportation project
  • Represented two investment fund managers and a national developer in the acquisition, financing, joint venture structuring, and ultimate disposition of a major retail and entertainment complex valued at approximately US$100 million
  • Represented a developer/operator on numerous matters relating to a significant real estate asset in a major city involving film studios, office space, retail space, and apartments, including multiple joint ventures, a preferred equity investment, private placements, financing matters, and the creation of a separate operating company/property company (opco/propco) structure to separately monetize the real estate versus film studio operations
  • Represented the owners of an approximately 5 million square-foot multi-use project located in New York City, involving approximately 25 buildings valued at over US$1 billion in numerous capital transactions including mortgage and mezzanine financing matters, multiple joint ventures including joint ventures with multiple "layers," ground leases, and multiple acquisition transactions
