Sibu has experience advising on a wide range of contractual, corporate and commercial matters. Sibu has also advised on corporate restructurings, corporate governance as well as on general commercial legal matters. She has also been exposed to areas of equity capital markets and mergers and acquisitions, with particular strength in the financial services, technology, industrials and consumer goods, food & retail sectors.

EXPERIENCE

  • Advised RMB and Morgan Stanley on their sale, as joint global coordinators, of shares held in Premier Group Limited by CWRFG Partnership and RMB Morgan Stanley Proprietary Limited (pursuant to a derivative agreement).
  • Advised Tanga Cement, an industrials company listed on the Dar es Salaam Stock Exchange, and its majority shareholder, in relation to a capital raise by way of underwritten rights issue undertaken by the listed company, in terms of which shareholders of the listed company were invited to subscribe for new ordinary shares for an issue price of TSZ1,600 per share, with the underwriter obliged to take up any shares not subscribed for. Approximately TZS204 billion was raised.
  • Advised RMB and Morgan Stanley on their sale, as joint bookrunners, of MTN Zakhele Futhi's shares in MTN Group, raising approximately ZAR3 billion.
  • Advised Brait plc in the invitation by its wholly owned subsidiary, Brait Investment Holdings Limited's tender offer to acquire up to ZAR400 million in aggregate principal amount of exchangeable bonds.
  • Advised Brait plc on its capital raising, raising ZAR1.5 billion, which comprised of a renounceable rights offer made to Brait's qualifying shareholders to subscribe for c.2.5 billion ordinary shares.
  • Advised Investec Bank on its sale, as the sole bookrunner, of shares in Vukile Property Fund, a real estate investment trust. Two separate capital raises with the first in February 2024 raising ZAR1 billion and the second in September 2024 raising ZAR1.5 billion.
  • Advised Remgro, a public company listed on the Johannesburg Stock Exchange (JSE), on its sale of all its shares in Momentum Group, also listed on the JSE, by way of an accelerated bookbuild, raising gross proceeds of ZAR2.7 billion.
  • Advised Investec Limited, as sole bookrunner, in an equity raise of R680 million for Afrimat Limited shares.
  • Advised First National Bank of Eswatini on its listing, by introduction, on the Eswatini Stock Exchange as well as advising its sole shareholder on the private placement of 20% of the shares in First National Bank of Eswatini.
  • Advised EOH on its capital raising, comprising of a renounceable rights offer made to EOH's qualifying shareholders and specific issue for cash to its BBBEE shareholder.
  • Acting for a private equity fund in its acquisition of a surgical devices company.
  • Advised one of the bidders for the acquisition of the South African subsidiary of Shell plc.
  • Acting for the curator on the curatorship of Habib Overseas Bank Limited.
  • Acting for Starsight Energy Africa Holding Limited, a Mauritius company, on a transfer of 35% of its shares it held in SolarAfrica Energy Proprietary Limited to IDEAS Infrastructure I GP Proprietary Limited.
  • Acting for a Mauritian solar energy company on the merger of its investments in 5 African countries with those of another Mauritian solar energy company through the establishment of, and transfer of their respective businesses to, a newly incorporated Mauritian company.
