Marek Kłeczek has more than 10 years of experience in advising on corporate law, securities law, mergers and acquisitions of public and private companies, and capital market transactions.

He provides transactional and corporate advice to leading financial institutions, investment banks and public and private companies involved in mergers and acquisitions, joint ventures, divestitures, reorganisations, cross-border and domestic issuances of equity and debt securities, primary and secondary public offerings of shares, public and private offerings of bonds and public-to-private transactions.

EXPERIENCE

M&A

  • Advising Sygnity on the execution of an investment agreement with Total Specific Solutions and the tender offer for 100% of the shares in Sygnity. Value – PLN260 million.
  • Advising CCC Group on its agreement with an entity from the Softbank Group, under which SoftBank Vision Fund 2 planned to invest in eobuwie.pl by taking up convertible bonds. Value – PLN500 million.*
  • Advising CCC Group on a transaction ultimately resulting in each of Cyfrowy Polsat S.A. and A&R Investments Limited, one of the shareholders of InPost S.A., acquiring a 10% stake in eobuwie.pl. Value – PLN1 billion.*
  • Advising Telewizja Polsat on its acquisition of Interia Group. Value – PLN422 million.*
  • Advising Cyfrowy Polsat S.A. and Reddev Investments Limited on the acquisition of 22% of the shares in Asseco Poland. Value – PLN1.2 billion.*

ECM

  • Advising PCF Group on its PLN200 million IPO on the Warsaw Stock Exchange.*
  • Advising Benefit Systems on its private placement of newly-issued shares and sale of treasury shares. Value – PLN300 million.*
  • Advising REINO on its PLN300 million IPO on the Warsaw Stock Exchange (aborted due to unfavourable market conditions).*
  • Advising Alior Bank on its acquisition of Bank BPH’s core business from affiliates of GE Capital and the follow-up rights issue of Alior Bank shares. Value of the rights issue – PLN2.2 billion.*
  • Advising Grupa LOTOS on its secondary public offering of shares. Value – PLN1 billion.*
