Acted as Canadian counsel to Qualcomm Incorporated (NASDAQ: QCOM) in its acquisition of Alphawave IP Group for approximately USD$2.4 billion.
Represented Ecolab Inc. (NYSE: ECL) in its acquisition of Ovivo Inc.’s electronics division for consideration of approximately CAD$2.4 billion.
Advised Rezolve Ai (NASDAQ: RZLV), a global leader in AI-driven commerce solutions in its acquisition of GroupBy Inc., a leader in enterprise-grade site search, product discovery, and merchandising solutions.
Advised Columbus McKinnon Corporation (NASDAQ: CMCO) in the negotiation and finalization of a definitive agreement under which it will acquire Kito Crosby Limited, a global leader in lifting solutions with multiple manufacturing assembly plants and nearly 4,000 employees in over 50 countries, in an all-cash transaction valued at $2.7 billion.
Acted for Carlisle Companies Incorporated (NYSE:CSL) in ‎connection with its acquisition of Plasti-Fab Ltd. from PFB ‎Corporation for approximately $260 million.‎
Acted for Rolls-Royce in an agreement to sell its naval propulsors and handling business to Fairbanks Morse Defense, a portfolio ‎company of Arcline Investment Management.‎
Advised Thunderbird Entertainment (TSXV: TBRD) in the negotiation of a definitive arrangement agreement with Blue Ant Media (TSX: BAMI) whereby all of the issued and outstanding shares of Thunderbird Entertainment will be acquired by Blue Ant Media, subject to customary closing conditions.
Represented Legrand, a global specialist in electrical and digital ‎building infrastructure, in its acquisition of Power Bus Way.
Represented Granify Inc. in connection with its acquisition by ‎Bazaarvoice, Inc.‎
Acted for Emerald X, LLC, the largest U.S.-based B2B event organizer, in its acquisition of Generis Group, a Toronto-based leader in B2B executive summits.
Represented Frontline Healthcare Partners, a private equity firm exclusively focused on investing in leading distributed healthcare businesses, in its acquisition of Integracare, a leading private-pay home care company in Ontario, Canada.
Acted for Insignia Capital in its strategic investment in Trooh Media, a Toronto-based leading digital-out-of-home (DOOH) media platform that enables brands to engage Gen Z audiences at scale across U.S. college campuses.
Acted for Updata Partners in connection with its investment in ‎ContactMonkey’s $55 million Series A financing round.‎
Acted for Tier1CRM Inc. in the sale of Tier1’s ‎Customer Relationship ‎Management ‎business and related assets to SS&C Technologies ‎Holdings, Inc.‎
