Jason advises public and private companies, private equity firms and their portfolio companies on a wide range of executive compensation and employee benefit matters, including in connection with mergers, acquisitions, sales, private equity investments, and restructurings.

Jason regularly advises clients on structuring and implementing equity and cash-based incentive plans as well as the applicable tax, securities law, corporate governance and disclosure implications of those arrangements.

Jason also represents clients in negotiating employment, separation and incentive agreements, and advises on the design, drafting and operation of welfare benefit plans, qualified retirement plans, and nonqualified plans.

Jason provides comprehensive support to clients facing issues involving employee stock ownership plans related to corporate transactions, and has assisted with numerous transactions, helping to coordinate analysis and due diligence, the negotiation of representations and covenants, and post-closing benefits and employee integration.

In addition, he has experience counseling employers on issues related to multiemployer funds, including withdrawal liability and the detection and correction of defects in tax-qualified retirement plans through Department of Labor and Internal Revenue Service compliance programs.
