Jordan Cohen works with founders, emerging growth companies, and venture capital investors across the full company lifecycle – from formation through priced rounds, growth-stage financings and the strategic transactions that follow.

Jordan focuses on the work that shapes a company's trajectory: standing up the entity, raising capital, building a cap table that holds up over time, and putting governance in place that can scale with the business. His approach is practical and commercial, grounded in what actually moves a deal forward for the client and building the systems and structures that let founders stay focused on what they do best. He's passionate about working with founders and early-stage companies – helping bring a vision to the stage when constraints are real and judgment compounds.

Before law, Jordan spent years in the performing arts, working across a wide range of settings, budgets and audiences. That background taught him how to read a room, calibrate the response, and deliver under pressure. He brings the same instincts to client work – triaging issues, right-sizing solutions, and growing alongside the companies he advises.

  • Represented pharmaceutical marketing company in $26 million series A transaction with secondary offering
  • Represented a private biotech company client in an upsized $300 million Series D financing, including drafting investor side letters and ancillary agreements
  • Represented a neural engineering company in a $100+ million convertible note financing and $200+ million Series C financing
  • Represented a leading software/cloud company in a $1.15 billion convertible note offering
  • Advised multiple public life science companies in PIPE transactions ranging from $15 million to $100 million
  • Assisted a leading insurtech issuer with its initial public offering
  • Advised numerous founders on entity formations and SAFE financings

Prior Experience

Prior to joining DLA Piper, Jordan was an associate in the general corporate group of a top AmLaw 100 law firm in Palo Alto, where he advised issuers, investors, and public companies on capital markets transactions and emerging growth and venture capital matters. He previously served as a judicial intern to the Honorable William Lafferty of the US Bankruptcy Court for the Northern District of California and as a legal extern at the UC Berkeley Office of Legal Affairs.

Additional Background

Prior to law school, Jordan spent nine years as a professional classical musician and arts administrator. Jordan actively conducted orchestras and opera companies internationally, performing from Berlin to Moscow and Miami. He served as Director of Production for a large classical music festival in Miami and stage-managed operas at three of the largest opera houses in the United States. Also, a committed educator, Jordan founded a 6th-12th grade orchestra program in Austin, Texas, which achieved 100% matriculation to college.
