Meagan Pace has a wide-ranging corporate litigation practice, including general corporate, securities, private equity, and mergers and acquisitions (M&A) litigation. She has represented clients against allegations of violations of federal securities laws and breaches of fiduciary duties to stockholders arising out of corporate mergers, M&A transaction liability insurers in disputes arising under representations and warranties insurance, and shareholders in fraud and corporate governance matters. 

Meagan assists in representing clients throughout all phases of litigation, arbitration, and transactional disputes.  She also has experience representing clients in internal corporate investigations and compliance matters.

EXPERIENCE

  • Obtained a US$250 million settlement on behalf of a family group of minority stockholders in a statutory corporate dissolution and stockholder oppression action against the controlling majority stockholders of a privately held corporation in Baltimore County, Maryland Circuit Court
  • Obtained dismissal of two securities actions filed against major financial institution in Maryland and Delaware federal courts, alleging that the company failed to disclose material information in connection with a merger with another financial institution
  • Obtained favorable outcome of less than 10% of the claim for Representations and Warranties Insurer in arbitration, based on allegations of breaches of financial statement and regulatory compliance representations and warranties
  • Obtained favorable outcome of less than 15% of the claim on behalf of board of directors of public company implicated in a federal securities and breach of fiduciary duty lawsuit based on allegedly high termination fee in an acquisition agreement
