Krzysztof Stefanowicz is an English law qualified lawyer with experience in structured finance transactions. He advises clients on the English law aspects of synthetic and true sale securitisations of various asset classes, including SME loans, buy-now-pay-later products (BNPL), trade receivables and retail automotive receivables.

He has gained valuable international experience, having previously worked in London where he was involved in cross-border finance and corporate transactions. In addition to his finance practice, Krzysztof has experience in private M&A and provides English corporate law advice to international clients operating across the CEE region and globally.

EXPERIENCE

  • Advising VEHIS, one of Poland’s leading sales financing businesses operating in the auto leasing industry, on the conversion of its warehouse financing structure into Poland’s first public securitisation transaction worth PLN1.35bn (USD372.5m). The transaction included a PLN1.35bn (USD372.5m) portfolio of auto leases originated by VEHIS being sold to an Irish Designated Activity Company (DAC) through a true-sale securitisation helping VEHIS raise financing, underwritten by the European Investment Bank, European Investment Fund, and Banco Santander.
  • Advising Wealthon, a FinTech company that provides loans to SMEs, on a warehouse securitisation in its capacity as the originator. The transaction concerned a portfolio of SME loans, originated by Wealthon companies, and the issuance of notes by an Irish SSPE of up to PLN500m that were purchased by private international investors.
  • Advising companies from the PAD RES Group on obtaining PLN107.1m financing from Bank Millennium to fund the operation of 13 photovoltaic farms with a total capacity of 60.45 MW.
  • Advising VEHIS, a company operating as an online sales platform that offers car leasing, on warehouse financing and its role as the originator. The transaction concerned a portfolio of leasing receivables originated by VEHIS and the accession of Jefferies, one of the world's leading full-service investment banking and capital markets firms, to the existing financing as a new mezzanine lender.
  • Advising the Polish subsidiary of the Vita Group, a leading European flexible foam solutions provider, on the launch of a three-year, EUR81.5m trade receivables securitisation programme—refinancing their existing structure with an EUR80m senior commitment from Santander CIB and EUR1.5m in junior funding from Finacity Corporation.
  • Advising VEHIS, a company operating as an online sales platform that offers car leasing, on an issuance of an additional class of bonds on the Polish market, the proceeds of which are to be used to purchase the existing bonds held by Jefferies within the existing warehouse financing structure.
  • Advising a bidder on the proposed acquisition of a CEE airline.*
  • Advising Metair Investments Limited on entering into an agreement to dispose of its Turkish business, the Mutlu Group, to Quexco Incorporated for USD110m.*
  • Advising Mirova on its investment in Baltic Storage Platform, an energy storage joint venture in Estonia involving one of the Baltics' leading RES developers.*
  • Advising a Middle Eastern sovereign wealth fund on a corporate reorganisation of a group of companies that own a luxury shopping centre in Turkey.*
  • Advising Macquarie and Spring, a Japanese investment fund, on the sale of its indirect shareholdings in the 573 MW Race Bank offshore wind farm project in England to Norges Bank Investment Management for GBP330m.*
  • Advising a US technology company on the planned acquisition of a leading electronics manufacturing services group in Poland.*
  • Advising minority owners in connection with their investment in AFC Bournemouth, an English Premier League football club.*
