About

Peter advises local and multi-national clients on M&A and equity capital markets transactions in South Africa and in the rest of Africa. Peter advises on public and private M&A transactions (including private equity acquisitions and disposals). His practice covers a range of sectors, with recent deals completed in the financial services, media, hospitality, retail, food and beverages and property sectors. He has a vast experience in private and public mergers and acquisitions (M&A), capital markets, securities regulation and general commercial law.

EXPERIENCE

  • Advising Cell C Limited (Cell C) and Cell C Holdings Limited (Cell C Listco) on a pre-listing restructuring between Cell C and its shareholders aimed at optimising Cell C's capital structure and balance sheet in preparation for the listing of Cell C Listco on the main board of the JSE.
  • Advising Premier Group, a JSE-listed FMCG company, on its proposed acquisition of all the shares in RFG, a JSE-listed food producer, in exchange for new shares in Premier as well as delisting RFG shares from the JSE.
  • Advising the joint global coordinators comprising Investec Bank, JP Morgan and Goldman Sachs on a USD1.5 billion accelerated bookbuild by Ibex Investment (formerly Steinhoff International) of 1.04 billion shares in Pepkor Holdings.
  • Advising Investec Bank, the sole bookrunner to Vukile Property Fund, on a primary offering by Vukile of ordinary shares by way of an accelerated bookbuild offering. Vukile raised approximately ZAR2 billion through the offering.
  • Advising C Cell Holdings on its listing on the Johannesburg Stock Exchange, which was accompanied by a secondary offer by The Pre-Paid Company of ordinary shares in Cell C by way of private placement. The offer was made into the United States in reliance on Rule 144A under the US Securities Act.
  • Advising ASP Isotopes (ASPI) on its proposed acquisition, by way of a scheme of arrangement or a standby offer, of all the issued shares in Renergen Limited, a JSE-listed natural gas operation, and its intended secondary listing on the JSE. Following a successful acquisition, the Renergen shares will be delisted from the Johannesburg Stock Exchange.
  • Advising Investec Bank, as the sole bookrunner, on an accelerated bookbuild which saw Vukile Property Fund successfully raise ZAR1 billion.
  • Advising Investec Bank, as the sole bookrunner, on an accelerated bookbuild which saw Vukile Property Fund successfully raise ZAR1.5 billion.
  • Advising Rand Merchant Bank and Morgan Stanley, the joint bookrunners to MTN Zakhele Futhi, in respect of the secondary placement of 23,768,040 ordinary shares in MTN Group by way of an accelerated bookbuild. The transaction successfully raised gross proceeds of approximately ZAR3 billion.
  • Advising the sellers on the disposal of 100% of the shares in Deltamune, an animal vaccine producer, to a wholly-owned subsidiary of Dutch-based Vaxxinova.
  • Advising Shoprite Checkers on the disposal of its African furniture and related credit business to Pepkor for a purchase price of approximately ZAR3 billion.
  • Advising Remgro, a public company listed on the Johannesburg Stock Exchange, on its sale of all its shares in Momentum Group, also listed on the Johannesburg Stock Exchange, by way of an accelerated bookbuild, raising gross proceeds of ZAR2.7 billion.
