EXPERIENCE

  • Advising Gallagher Re (Pty) Limited on the sale of all of the shares in Gallagher RE Proprietary Limited held by Gallagher European Holdings Limited to Gallagher Holdings & Management (EMEA) Ltd in exchange for shares in Gallagher Holdings & Management (EMEA) Ltd.
  • Advising Premier Group, a JSE-listed FMCG company, on its proposed acquisition of all the shares in RFG, a JSE-listed food producer, in exchange for new shares in Premier. The transaction is structured as a scheme of arrangement and following implementation all the RFG shares will be delisted from the JSE.
  • Advising Greywell Ventures on the establishment of an employee share scheme pursuant to its acquisition of Tamodi.
  • Advising Thirty First Investments on a statutory merger in terms of section 113, read with section 116, of the South African Companies Act to affect a property portfolio consolidation.
  • Advising Rolfes in relation to the disposal of 100% of the shares held by shareholders in Rolfes to Solevo MEA. The transaction was implemented through a combination of a subscription and buyback and a sale of shares.
  • Advising Barloworld Limited in a novel material adverse change dispute in South Africa following Barloworld's acquisition of Tongaat Hulett.
  • Advising First National Bank Ghana Limited on the acquisition of the entire issued share capital of GHL Bank from Harborough Limited.
  • Advising WorldAware Solutions on its merger with Silvermine Properties Proprietary Limited, which was implemented as a statutory merger in terms of section 113 of the Companies Act and section 44 of the Income Tax Act.
  • Advising the curator of Ubank, KPMG, in a transaction related to the disposal (as a going concern) of Ubank’s assets and liabilities to African Bank for a purchase consideration of ZAR80 million.
  • Advising Haier Smart Home, based in Qingdao, China, on the acquisition of Electrolux Group’s complete equity interests in its subsidiary Electrolux South Africa for ZAR2.45 billion.
  • Advising Bolt Services on internal reorganization.
  • Advising Real Foods Proprietary Limited on the disposal of a significant part of its foods business to Virgin Active, as well as on the subscription for shares in Virgin Active.
  • Advising Phatisa Fund Managers on the acquisition of 100% of biotechnology company Deltamune Proprietary Limited, from HL Hall & Sons Investments.
  • Advising FirstRand Bank on the sale of certain assets and liabilities of its subsidiary, First National Bank Tanzania, to Exim Bank Tanzania.

Prior Experience

Rakhee started her career at an international law firm in 2014, where she moved through the ranks from candidate attorney to associate. In 2016 she joined DLA Piper.
