DLA Piper advises SoftwareONE on the acquisition of Predica

DLA Piper advised SoftwareONE Holding AG on the acquisition of Predica, a European leader in Azure cloud transformation.

SoftwareONE is a leading global provider of end-to-end software and cloud technology solutions, headquartered in Switzerland. With an IP and technology-driven services portfolio, it enables companies to holistically develop and implement their commercial, technology and digital transformation strategies. This is achieved by modernizing applications and migrating critical workloads on public clouds, while simultaneously managing and optimizing the related software and cloud assets and licensing. With around 8,300 employees and sales and service delivery capabilities in 90 countries, SoftwareONE provides around 65,000 business customers with software and cloud solutions from over 7,500 publishers.

Founded in 2009 and headquartered in Poland, Predica is a cloud-native provider of industry-leading Azure cloud professional and managed services serving blue-chip enterprise customers in Europe, the Middle East and the US. As an acclaimed Microsoft Gold partner with 15 Gold competencies and Azure Expert Managed Service Provider, the company specializes in applications & DevOps, cloud infrastructure, security and data analytics in order to drive digital transformation with customers.

The transaction was led by Michał Gintowt of DLA Piper's Warsaw Corporate and M&A team, who was responsible for coordinating due diligence and preparation of all transaction documentation and was supported by Michał Sowiński, Małgorzata Nowak and Filip Wilczyński. Michał Orzechowski and Agnieszka Staszek advised on merger and competition law issues. The other members of the transaction team included: Olga Leśniewska (IPT), Magdalena Zajęcka (IPT), Wojciech Sulimierski (Real Estate), Emilia Kalecka (Employment law), Agnieszka Tarasiuk (Employment law), Marta Piotrkowicz (Finance) and Jakub Wiatrzyk (Finance).
