Heri is a dual qualified (New York and Tanzania) finance associate in the London office specializing in international capital markets transactions. Heri has worked across the developed, emerging and frontier markets and has represented clients that include corporate issuers, investment banks and private equity sponsors in connection with cross-border debt and equity offerings. Heri has acted on various capital markets matters, including Rule 144A/Reg S high yield bond issuances, investment grade bond financings, liability management transactions, IPOs and secondary offerings. Heri also previously practiced for the largest law firm in Africa across corporate and finance mandates.

EXPERIENCE

  • Advised London Stock Exchange listed Tyman plc in US public M&A takeover by Quanex Building Products Corporation with respect to its public disclosure in a proxy statement subject to certain disclosure requirements from the SEC with the acquisition having an enterprise value of GBP1.1bn.*
  • Represented the initial purchasers on a Rule144A/Reg S refinancing of senior secured notes by Together Money, one of the leading specialist mortgage lenders in the United Kingdom issued at GBP450m.*
  • Represented the initial purchasers in B&M European Value Retail’s (“B&M) GBP250m offering of Reg S senior secured notes concurrent with a tender offer. B&M is one of the largest diversified retailers in Europe and is listed on the London Stock Exchange and is on the FTSE 100 index.*
  • Advised PureGym, Europe’s second largest and the UK’s largest operator of gyms by number of gyms and members on its EUR380m and GBP475m offerings of senior secured notes through a 144A/Reg S repeat high yield bond issuance.*
  • Represented the placement agents on an innovative de-SPAC where ACG Acquisition Company was targeting two Brazilian mines in the global critical metals industry valued at USD1bn.*
  • Advised Tullow Oil plc, an independent oil & gas exploration and production group, quoted on the London Stock Exchange on its tender offer to purchase a portion of its outstanding USD800m senior notes due 2025 for cash.*
  • Advised Vår Energi, a leading independent upstream oil & gas independent producer with operations concentrated on the Norway Continental Shelf in its $500 million investment grade debut bond issuance of 144A/Reg S senior notes.*
  • Advised the initial purchasers on multiple offerings of senior secured notes and PIK Toggle Notes by Together Money, one of the leading specialist mortgage lenders in the United Kingdom issued at GBP120m and GBP380m respectively.*
  • Assisted GoGreen Investments, a publicly listed special purpose acquisition company (SPAC) in certain capital markets and local Tanzanian law aspects with respect to its business combination with Lifezone Mentals, which holds majority interest in Kabanga Nickel mine in Tanzania.*
  • Advised Vodacom Group, the leading telecommunications company in Tanzania on its USD213m Initial Public Offering (IPO), the first ever telecommunications listing on the Dar es Salaam Stock Exchange.*
