Carole Rhein focuses on restructuring and special situations, advising clients in complex and financially distressed contexts. She acts for domestic and international stakeholders on both contentious and non‑contentious matters relating to business and financial restructurings, enforcement scenarios and insolvency‑related proceedings.

Carole has developed a differentiated practice at the intersection of restructuring and dispute resolution. She regularly advises asset managers, financial institutions, creditors and other stakeholders on reorganisation plans, insolvency related matters, enforcement strategy and complex financial and corporate disputes.

Her litigation background enables her to advise clients with strategic positioning, risk management and value protection in highly sensitive and potentially contentious situations, including where multiple stakeholders or cross border elements are involved.

She also has solid experience in real estate related matters, including transactions and developments and enforcement-driven situations involving distressed assets or complex stakeholder dynamics.

EXPERIENCE

Carole’s relevant experience includes advising:

  • The Project Fürst companies on a landmark 2024 English Part 26A plan to restructure over EUR 1 billion in debt for a Berlin property development.
  • A Luxembourg-based investment fund focused in connection with a multi-million tranche financing relating to a property project in Luxembourg, secured by Luxembourg law security interests and a mortgage over the property.
  • Apsys Investment SAS on a comprehensive restructuring of the Apsys group’s corporate structure.
  • The Scottish administrators of SIGNAL REAL ESTATE OPPORTUNITIES (LUX) INVESTCO IX S.à r.l. on a cross-border insolvency transaction involving insolvency proceedings in both Luxembourg and Scotland in respect of the same Luxembourg entity, including the negotiation of a cooperation protocol.
  • The largest independent general construction and real estate group in Luxembourg, in connection with enforcement proceedings against a defaulting borrower under two loan agreements totaling approximately USD91 million relating to the acquisition and financing of a renowned UK property held through a joint venture structure involving the group and the borrower.
  • A global real estate investment and asset management firm, on the reorganisation of its group, by way of solvent liquidation, bankruptcy of certain Luxembourg group companies and the related liability risks for the managers and, as well as preparatory steps for a partial sale.
  • A multi-compartment regulated Luxembourg fund and certain of its subsidiaries acting as lender and security taker under several financings to the Cenaro group, a real estate developer in Luxembourg, in connection with anticipatory restructuring and enforcement strategy discussions relating to the Cenaro group’s difficulties in repaying the loans.
