Maciej Rafałowski specialises in transactions in the renewable energy and real estate sectors.

He advises clients throughout the whole transaction life cycle, from conducting due diligence reviews, drafting documentation and providing post-transaction support. He works on both asset and share deals involving investments in office and logistics real estate, as well as portfolios of assets such as PV farms and wind farms.

Maciej has extensive experience in negotiating office, commercial and warehouse leases and providing legal support for the development of PV farm and wind farm projects, including the negotiation of acquisition agreements, development services agreements, and other agreements required during the development phase of a project.

He assists banks in the financing process by conducting legal reviews of properties, helping borrowers to mitigate risks and provide comprehensive security to cover their debts.

EXPERIENCE

  • Advising ib vogt, a leading utility-scale solar development platform, on the sale of two PV projects (share deal, 117 MWp) to Qualitas Energy.
  • Advising Green Capital S.A., a Polish PV developer, on the sale of an SPV with rights to 41 MW of PV projects to R.Power Renewables.
  • Advising a major owner of agricultural property from Denmark on the sale of a portfolio of over 100 hectares of agricultural land (share deal) to one of Europe's oldest family estates.
  • Advising DLA Piper Poland and DLA Piper GSC on the negotiation of a long-term office lease (4,500 sqm).
  • Advising Stena Fastigheter, a leading Swedish real estate company, on the acquisition (asset deal) of an office building in Warsaw (value: EUR 70 million).
  • Advising a leading Polish e-commerce company in negotiations of over 25 lease agreements (total value: over EUR 40 million).
  • Advising a Malaysian investor on an investment (share deal) in a logistics centre with an area of over 145,000.00 sqm.
  • Preparing numerous due diligence reports of real properties and advising on the real estate aspects of corporate due diligence reports, including for warehouse, residential, office, retail, and manufacturing real properties, together with a due diligence review of one of the largest Polish real estate developers, the total value of which exceeded PLN 1.5 billion
  • Advising the seller on the sale of an organised part of an enterprise in the logistics sector*.
  • Advising the seller on the sale (share deal) of a leisure and hospitality resort in Warsaw (value: EUR 40 million)*.
  • Providing pro-bono legal advice to an NGO regarding administrative procedures related to the funding of humanitarian relief in Northern Iraq*.
