Kelly specialises in equity capital markets transactions and advising on Australian securities law issues. Kelly’s expertise includes ASX initial public offerings for Australian and international issuers, placements, rights issues and convertible note and corporate bond offers. Kelly also advises on private M&A transactions, ASX Listing Rule and Corporations Act compliance and general corporate law issues.

  • Advising Web Travel Group in relation to the demerger and ASX listing of its B2C business, AUD346 million institutional placement and ANREO, AUD250 million convertible note offering (listed on SGX) and simultaneous conversion of EUR100 million convertible notes.
  • Advising Life360 on its AUD820 million IPO and ASX listing, AUD280 million ANREO and institutional placement to fund the acquisition of Tile, Inc. Australian counsel to Life360's Nasdaq dual listing, and subsequent shift of primary listing from ASX to Nasdaq, and USD320 million upsized convertible note offering.
  • Advising SPC Global on its reverse merger with ASX-listed The Original Juice Co. and concurrent acquisition of the powdered milk business of Nature One Dairy.
  • Advising Nickel Industries on its AUD943 million private placement, AUD264 million institutional placement and SPP, USD225 million strategic and institutional placement and SPP, AUD364 million ANREO and AUD231 million ANREO.
  • Advising Demyst, an Australian fintech company, on its sale to Feedzai, a Portuguese fintech specialising in fraud detection.
  • Advising Accel-KKR and its NZ portfolio company, Seequent, on its proposed IPO and listing on ASX (ultimately transacted by way of trade sale to NASDAQ-listed Bentley Systems for NZD1.46 billion).
  • Advising Zip Co Limited on its AUD400 million convertible notes offering.
  • Advising Washington H. Soul Pattinson and Company Limited on its AUD225 million convertible notes offering.
  • Advising Zebit, Inc. on its pre-IPO convertible note issuance and subsequent initial public offering of CDIs and ASX listing.
  • Advising ASX 200 technology company Nearmap Ltd on its underwritten AUD72.1 million institutional placement and its non-underwritten share purchase plan.
  • Advising lead managers and underwriters of IPOs, entitlement offers and institutional placements.
  • Advising listed and unlisted Australian and global companies on employee incentive plans.
