• Advising Atmos Ventures on the USD 1.08 billion share-for-share swap between Oxford Ionics and Ion, including cross-border tax structuring for fund managers in Poland, the US, UAE and UK.
• Advising the Polish International Development Fund 2 CEF, managed by PFR TFI S.A., on the acquisition of a 30% stake in Teknikum Group, a Finnish company owned by Sanok Rubber Company S.A.
• Advising Enterprise Investors on a EUR 58 million investment in eTravel S.A and taking a 77% stake in Formeds.
• Advising Nethone on acquiring Advent International as a new majority investor and joining the MANGOPAY.com Group. The advice included tax structuring and supporting the management team in relation to various exit options.
• Advising Future Mind and its founders on selling the company to the Finnish investor Solita. The advice included tax warranties and indemnities and negotiating certain tax aspects of the transaction with the investor.
• Advising Promethean on a wide range of issues arising from the valuation of an acquired business, including corporate and transfer tax, and on the preparation of transaction documentation in the light of Promethean's global structure and future intra-group settlements, as well as commenting on cross-border arrangements in conjunction with DLA Piper's US office in New York.
• Advising the Ministry of National Defence and the Polish Development Fund on joining the Nato Innovation Fund. The fund will invest EUR 1 billion in early-stage start-ups developing emerging and disruptive technologies and other venture capital funds developing emerging and disruptive dual-use (deep tech) technologies. Poland has committed to invest almost EUR 45 million in the fund.
• Advising PSA Baltics N.V., a member of PSA International, on the acquisition of an 85% stake in Pickhill Investments. The advice included structuring the transaction and preparing and negotiating the transaction documentation, including the share purchase agreement, the shareholders' agreement and documents related to the provision of debt financing to Loconi Group companies.
• Advising Amundi, a global real estate fund with AUM of over EUR 1.6 trillion, on the corporate and tax structuring of their European investment vehicles and their entry into the Polish market (the acquisition of two commercial office buildings in Warsaw).
• Advising in the setting up of mAccelerator, a VC investment fund from the Commerzbank group with over EUR 50 million initially invested, and providing subsequent ongoing legal and tax support in the fund’s acquisitions and developing portfolio companies.
• Providing ongoing tax advice to the Polish Development Fund.
• Advising Advent International/InPost on the IPO of InPost on Euronext in Amsterdam – the largest Polish IPO to date (worth over EUR 8 billion).*
