DLA Piper Canada advising emerging growth companies across multiple sectors in continued business expansion

DLA Piper Canada's Startups, Emerging Companies and ‎Technology group has advised a number of up-and-coming companies on transactions intended to assist with their continued growth. In the past five months the firm has assisted with the following transactions that span the technology, biotech, life sciences, health, financial services, real estate, construction and entertainment sectors:


      Mike Reid and Maneesha Dakha acted for Academy Brewing in its acquisition of Moody Ales Ltd., which closed in February 2021. Moody Ales is one of the premier craft breweries and an anchor tenant on Brewers Row in Port Moody, BC, with big plans for the future!
Badhouse          Mike Reid acted for Badhouse Was Here First Investments Ltd. (an SPV of Badhouse Ventures) in their Seed financing of Supportbench. Badhouse Ventures is a Vancouver-based incubator-studio that invests in early-stage ventures and provides support as well as hands-on, unstructured mentorship and programming, and made two further pre-seed investments in ioAirFLow and Aboard.
 Jetlines       Advised Canada Jetlines on their spin out of an ultra low cost airline in Canada from Global Crossing, a US charter airline. Canada Jetline aims to be Canada’s first discount airline servicing holiday destinations.
Charli       Mike Reid, Ryan Black and Maneesha Dakha supported CharliAI Inc. in both their Convertible Note financing, and their acquisition of TeamSync Bookmarks, each of which closed in June 2021. Charli is an AI-based digital assistant, providing organizational and productivity solutions for users.
commit       Morgan McDonald and Mike Reid advised on Commit Solutions Inc.’s oversubscribed seed financing round for gross proceeds of over $6m. Commit is building a professional network for Canadian engineers to start and accelerate remote-first careers.
CYA       Ted Maduri led a team assisting CYA Inc. with a seed financing, as well as general corporate and IP matters. CYA is about to embark on its next round of financing. Cya.Live is an immersive social broadcast platform for shared real-time experiences. It lets content producers broadcast synchronized interactive and collaborative events to large-scale virtual audiences in real-time. 
Delic         Denis Silva, Morgan McDonald, Maneesha Dakha and Amanda Vogeli advised Delic Holdings Inc. in its acquisition of Complex Bio Discovery Ventures Ltd., a Health Canada licensed research and development lab focussed on psilocybin vaporization technology (now Delic Labs) in May 2021 and its acquisition of Ketamine Infusion Centers LLC, which owns and operates a number of ketamine infusion treatment clinics in Arizona and California in June 2021. Delic Holdings Inc. is a psychedelic wellness platform, owning and operating an umbrella of related businesses.
DraganFly       Denis Silva and Maneesha Dhaka advised Draganfly Inc. on an acquisition of ‎assets from Vital ‎Intelligence ‎‎Inc., for consideration of $16 million. The assets of Vital enable Draganfly to continue ‎developing their health monitoring business unit.‎
ewebinar       Mike Reid assisted eWebinar Labs Inc. in its follow-on private financing, closing March 2021. eWebinar is a platform which provides an automated webinar solution, which combines pre-recorded video with real-time interactions and live chat to deliver an engaging experience for attendees.
GPM       Ted Maduri and Mackenzie Clark assisted GMP Contracting Ltd with a reorganization of its companies and the acquisition of Provincial Underground. GMP specializes in heavy civil construction, bridge and structural concrete rehabilitation, concrete forming, marine structures, and roadwork projects.
HomeSpotter       Mike Reid and Maneesha Dakha assisted Homespotter LLC in its May 2021 sale to Lone Wolf Technologies. HomeSpotter is a real estate tech company, and added its Boost, Connect and Spacio tools to Lone Wolf’s growing suite of real estate-related products.
Latiga       Ted Maduri, Geoff Mowatt and Grace Latimer advised Lactiga, Inc. on seed financings and the strengthening of their IP portfolio through patent issuances and allowances in the US and Japan.‎ Lactiga, Inc. is an award-winning biotherapeutics company developing anti-infective ‎biologics.
Mintgreen       Mike Reid and Chris Pejovic acted for MintGreen Blockchain Innovation Corp. in its March 2021 Seed round financing, lead by CoinShares Ventures. MintGreen is an innovative cleantech company which uses bitcoin mining to monetize heat generation.
Neptune       Denis Silva, Graham H. Norris, Nahal Iranpour, Stephen Wintermute and Joe Furness advised Neptune Digital Assets Corp. (TSX-V:NDA) (OTC:NPPTF) on a securities purchase agreement for a $40 million private placement of units with institutional investors.‎ Neptune Digital Assets has a diversified portfolio of investments ‎and cryptocurrency operations across the digital asset ecosystem including Bitcoin mining, tokens, ‎proof-of-stake cryptocurrencies, decentralized finance (DeFi), and associated blockchain technologies.
Oongalee       Ryan Black, Mike Reid and Becky Rock assisted Oongalee Technologies Inc. with a series of seed financings throughout 2021. Oongalee provides hardware/software products for the food service industry which combine internal and external marketing, client engagement and other solutions.
Filament       Morgan McDonald advised Psilo Scientific Ltd. in its sale to Filament Ventures Corp. which closed in March 2021. Psilo Scientific Ltd. is an exclusively natural psychedelic drug discovery and extraction company and now the flagship asset held by Filament  Ventures Corp., which has since completed its going public transaction.
Pulmonem       Ted Maduri and Grace Latimer advised Pulmonem Inc. on an initial seed financing round and a private placement of shares. Pulmonem Inc. was founded to demonstrate the ‎effectiveness and safety of a reformulated and patented version of Dapsone, a generic drug to arrest the ‎development of inflammation caused by COVID-19 and help prevent hospitalization of those who ‎become infected.‎
Relish       Mike Reid and Morgan McDonald worked with Relish Health Services Inc. in their rolling pre-seed financing, which closed in May 2021. Relish is a healthtech focused on safe, sustainable weight loss combining prescribed medication, psychological techniques and lifestyle intervention.
tier1       Advised Tier1 Financial Solutions, a leading provider of client relationship management (“CRM”) solutions‎, anti-money laundering (“AML”) compliance and fraud prevention solutions, in its acquisition of Satuit Technologies, Inc., a global leader in asset management and wealth management CRM software solutions.‎ Read more about this transaction here.
Trendi       Morgan McDonald, Mike Reid and Maneesha Dakha acted for TrendiTech Inc. in its initial seed funding of CAD$2.25M, which closed in June 2021, lead by WGG Capital Canada and Vestech Partners. TrendiTech is a new agritech company, seeking to solve current food waste processing problems through automated, robotic, AI-driven solutions.
TGS       Denis Silva, Erik Thorsteinsson and Joe Furness advised TGS Esports Inc. on the acquisition of Even Matchup Gaming Inc. for a total purchase price equal to $1,100,000. Even Matchup Gaming Inc. was founded to host esports gaming events and sponsor esports players, and has since become one of the largest live esports tournament operators in Canada, with well-known esports events such as the ‘Get On My Level’ tournament, which has become the largest fighting game tournament in Canada, and ‘Let’s Make Big Moves’, the largest Super Smash Bros. event in the New York area.
Wenco       Leveraging our Canadian (buyer), US (employee) and Australian (seller) offices, we acted for Wenco International Mining Systems in its international acquisition of the business and assets of Smartcap, engineers of the world’s leading fatigue monitoring wearable in the mining, trucking and other industries. Vetster       Jamie Mandell advised Whitecap Venture Partners in the $12.25 million funding for Vetster, the world’s first comprehensive virtual veterinary and pet care marketplace.‎ The raise comes on the heels of Vetster exceeding its initial growth ‎targets by more than 250 percent and was led by Whitecap Venture Partners along with Brightspark Ventures, ‎Hedgewood and angels including Wealthsimple’s Michael Katchen, Leen Li, Robert Halpern, and Jeff ‎Fettes.
Vgan       Denis Silva, Morgan McDonald, Maneesha Dakha and Erik Thorsteinsson are advising in the acquisition of all of the issued and outstanding shares of The Gourmet Ghetto Ltd. dba Nextjen Gluten Free in connection with VGAN Brands‘ going public transaction. VGAN Brands is an emerging vegan and gluten free foods umbrella company.
