The second acquisition involves the conditional agreement to acquire the Craig & Rose brand. The heritage paint brand established in Scotland in 1829 joins the Benjamin Moore portfolio of brands and presents a distinctive, design-driven offering for key customer segments.
DLA Piper provided end to end transactional support across both deals, with particular focus on Corporate, Commercial, IP, Real Estate and Employment. The team was led by Corporate partner Rob Newman with support from Corporate associates Ronny Jenner and Alex Adie, IPT partner Ryan Harrison, Real Estate legal director Sophie Murtough and Employment legal director Lisa Hodgson.
Frank Lotito, Benjamin Moore VP FP&A who led on the deal, said "Together, these investments advance our strategic global expansion to grow with intention, enhancing both our portfolio and operational capabilities abroad while bringing us closer to our customers. We would not have been able to close on these two significant deals for Benjamin Moore without Rob and his team.” Anik Sood, Associate General Counsel & Data Privacy Officer, added “We truly appreciate DLA's objective insights throughout and we could not have selected a better partner to work with as the DLA team was instrumental in structuring the deal from start to finish."
Rob Newman, DLA Piper Corporate partner said: "These two complex transactions required a disciplined and strategic approach, whilst also engaging with various third-party stakeholders. It was a genuine pleasure to support Frank, Anik and the rest of the Benjamin Moore team on these pivotal investments into the UK market. We look forward to continuing to support these newly acquired businesses as well as Benjamin Moore's broader growth ambitions across the globe."
