Lana Turpie focuses her practice on technology and intellectual property transactions. Lana advises clients on business and legal issues relating to acquiring, licensing, and protecting intellectual property assets. She represents public and private companies in the technology, life sciences, food, nutrition, and dietary supplements, software, IT services, semiconductor, as well as a variety of other industries. Lana's experience includes drafting and negotiating intellectual property license agreements, strategic alliance and joint venture agreements, outsourcing agreements, software as a service (SaaS) agreements, website terms of use, master services agreements, consulting agreements, non-disclosure agreements, reseller, supply, and distribution agreements, and other commercial transactions involving intellectual property assets.

  • Advised Tito's Handmade Vodka on commercial agreements in connection with its acquisition of a majority stake in LALO Tequila
  • Advised one of the world's leading wireless telecommunications companies in connection with patent licenses, technology licenses, covenant to sue last, transition services agreement, and a business collaboration agreement in connection with its acquisition of a proprietary automotive virtual hypervisor platform
  • Represented a leading Japanese semiconductor company, in connection with the sale of its radio business and assets to an Indian company, including an asset purchase agreement, a variety of service agreements, and other commercial agreements
  • Advised one of the largest independent pharmacy benefit solution companies in connection with the purchase of the assets of a pharmacy benefits manager (PBM) in an asset purchase transaction
