David Magraner-Ortiz focuses his practice on corporate matters, including advising clients on complex transactions and regulatory issues across diverse industries. He has experience with general government affairs matters and tax incentive laws, including export service companies (Act 60-2019 – former Act 20-2012) and individual resident investors (Act 60-2019 – former Act 22-2012).

He has counseled a leading international podcast company in acquiring a majority stake in a US podcast network, managed refinancing transactions for national private equity firms, and guided non-profit and for-profit organizations in Puerto Rico through corporate reorganizations and acquisitions. His practice includes representing and assisting Act 60 Investors with entity structuring and compliance and advising private equity firms on organization and exempt offerings.

EXPERIENCE

  • Counsel a leading international podcast company in the acquisition of a majority stake in a US podcast network, including the structuring and execution of the deal, which involved a private tender offer and a Series A preferred reinvestment into the target
  • Assist a national private equity firm in a re-financing transaction related to the acquisition of several manufacturing companies in the continental US
  • Advised in the acquisition of a telecommunications service provider in Puerto Rico
  • Assist Act 60 Investors with the organization, re-domestication, and/or authorization of legal entities to conduct business in Puerto Rico, including advising on general corporate and operational management compliance matters
  • Advise and represent several Puerto Rico private equity funds, including series LLC’s, concerning organization, initial exempt offerings and compliance matters under local and federal regulators
  • Organization and banking compliance of International Financial Entities (IFE's) pursuant to Act 273-2012
  • Assist an Energy Company under a Public-Private Partnership with Puerto Rico's regulatory compliance requirements, among others

Prior Experience

  • Before joining DLA, Mr. Magraner-Ortiz served as a corporate associate at a prominent law firm in Puerto Rico, where he developed broad experience in general corporate matters, including M&As, PEF’s and corporate reorganizations. During this time, he also provided legal advice to the Financial Oversight and Management Board for Puerto Rico
  • Represented a private higher education institution in Puerto Rico in the federal bidding process for CDBG-DR funds to develop a health program facility, among other projects
  • Advised a privately held, non-profit pharmacy in Puerto Rico on its corporate reorganization following the acquisition of two non-profit health service companies
  • General notarial services that include Deeds of Purchase and Sale, Constitution of Trusts, Mortgages and Power of Attorney, among others
