Ekaterina Larens is a partner in DLA Piper’s Corporate Group in Vienna. Her main area of work is the structuring and managing of complex multi-jurisdictional transactions both in Europe and the CIS region, with a particular focus on mergers and acquisitions, joint ventures, options and regulatory advice.

Ekaterina has a broad range of experience representing private equity and public investors, investment banks, venture capital firms, technology companies, developers, construction companies, and advising, apart from M&A, on a broad spectrum of real estate, life science, IT, employment and IP transactions.

As DLA Piper head of Legal Tech Austria, she is also responsible for leveraging technology to optimise internal legal processes as well as the services offered to the firm's clients.

EXPERIENCE

  • Advising a regenerative medicine company on its investment into Austrian clinics and the provision of medical and related services, in particular blood purification therapies, stem cell therapies, diagnostics, supplements and ancillary services to private clients (B2C) and institutional partners (B2B), including licensing, consumable sales and franchising.
  • Advising the majority shareholder of an Austrian company on corporate governance and means available to him in a corporate conflict case, including the appointment of new management, taking over operational control and disposal of key assets.
  • Advising a medical company on purchasing a company operating in the medical industry in Austria.
  • Advising a Finnish employment agency on its distribution of dividends from a Russian branch.
  • Advising a major European financial institution on selling its minority stake in a Russian bank, including transaction structuring and assistance with regulatory approvals.
  • Advising a global marketplace on attracting investment, and advice on corporate documents as well as financing documentation.
  • Advising a global marketplace on a sale of its payment branch in one of the European countries. Our advice included negotiation of the transaction documents as well as assistance with signing of the transaction documents and completion of the transaction.
  • Advising a large Luxembourg-based real estate investment fund, on its joint venture with a large Cypriot food and beverage company, in relation to the development of a mixed use predominantly residential and office building development of a total of seventy-five thousand (75,000) square metres in Cyprus.
  • Advising a large real estate developer on its investment in the construction and development of residential premises with auxiliary retail and office space on the land plots located in the Jumeirah Village Circle, Dubai, United Arab Emirates. Our advice included preparation of the transaction documents and advising the client on the transaction structuring.
  • Advising a Lichtenstein foundation in connection with the disposal of residential real estate in the heart of Vienna and an internal restructuring, including contribution to the charter capital.
  • Advising a major European e-commerce company on a complex cross-border corporate restructuring, including mergers and granting of options to employees.
  • Advising an international investor on the purchase from a major bank consortium of the shares in the company holding agriculture complex.
  • Advising Italian client in connection with entering into the lease agreement and hotel management agreements with world famous Hotel operator in relation to four star hotel in the center of Milan.
  • Advising the Luxembourg fund in connection with acquisition of an office center building nestled in the heart of Islington, London (including finance aspects).
  • Advised Gazprom Export on the acquisition of 100% of the shares in Centrex Europe & Energy Gas AG from Gazprombank.

  • Gratitude of Ministry for Social, Demographic and Family Policy of Samara Region of Russian Federation for volunteer fundraising and help to state enterprise, that renders services to the disabled children.
  • Initiated and participated in project "Generation Bridge" on behalf of the former employer, an international law firm, who, together with United Ways, arranged photo courses for the kids from an orphanage and sold the photos at an auction. The funds collected were transferred to the home for elderly people.
