About
Reyna Silva-Santisteban focuses her practice on the legal structuring, negotiation, and comprehensive execution of public and private infrastructure projects, leading legal strategy across contractual, corporate, financial, and administrative matters related to such projects.

Her experience includes advising domestic and international clients during procurement processes and throughout the contractual execution stage of various projects promoted by PROINVERSIÓN, particularly in the road, airport, railway and energy sectors.

She has also advised clients on the preparation, submission and negotiation of private initiatives, both self-sustaining and co-financed, for the development of public-use infrastructure projects across several sectors. In this capacity, she has played an active role in defining contractual structures and in strategic interactions with granting authorities and regulatory entities.
In addition, she has significant experience advising on the structuring and negotiation of project finance transactions, including syndicated and bilateral loans.

She regularly advises both sponsors and local and international lenders, including commercial banks and multilateral institutions. Her practice includes negotiating financing agreements, security packages, and intercreditor arrangements, coordinating financial close processes, and interacting with technical and financial advisors and public authorities in complex transactions.

  • Advising the EPC contractor of a major road infrastructure project in Lima during the construction phase, including the management of delays caused by the late delivery of land and the negotiation of a substantial amendment to the concession agreement
  • Advising the concessionaire of one of Peru's most important road infrastructure assets on contractual matters and project financing
  • Advising a foreign investor on the legal and financial structuring of infrastructure projects in Peru, including the general PPP regulatory framework, sector-specific regulations for railways and electric transport, the general legal regime for foreign investment in Peru, and potential financing sources and structures
  • Advising a foreign investor on the development of a major road infrastructure project, including negotiations with the granting authority regarding land delivery, additional works, certification of completion of initial works, financing requirements, and the negotiation of an addendum to the concession agreement to mitigate delays resulting from the political context
  • Advising the concessionaire responsible for the design, financing, construction, operation and maintenance of a water infrastructure project in the Peruvian Amazon in the negotiation of an amendment to the concession agreement to reschedule key project milestones and modify the terms of reference of the Detailed Environmental Impact Assessment, following unresolved environmental contingencies attributable to the State
  • Advising concessionaires responsible for the operation and maintenance of one of Peru's main PPP projects on contractual and corporate matters
  • Advising various companies within an international conglomerate and their strategic partners in their participation as bidders in the tender process for the Longitudinal de la Sierra Highway – Section 4 concession, a major road infrastructure project in Peru, including the analysis of the client’s participation within the bidding consortium and a comprehensive project risk assessment
  • Advising a foreign investor in the tender process for the private initiative to build and operate the Anillo Vial Periférico (Peripheral Ring Road) project before PROINVERSIÓN
  • Advising an international investor in the evaluation and strategic decision-making regarding its potential participation in the Anillo Vial Periférico project, a 34.8 km PPP road concession in Lima with an estimated investment of US$2.38 billion, 70% co-financed by the Peruvian State, including regulatory, financial and contractual analysis to ensure the client’s full understanding of the investment framework, risk allocation and remuneration mechanisms
  • Advising a major port terminal operator on the acquisition of 100% of the shares of a multipurpose port terminal for approximately US$200 million, requiring coordination between infrastructure regulation and concession law to ensure completion of the transaction
  • Advising the SPV in the structuring and negotiation of a US$4 billion syndicated loan and a bridge financing of up to US$600 million to finance the gas transportation project in southern Peru
  • Advising the SPV responsible for executing the concession for the Southern Peru Gas Pipeline Project, valued at approximately US$7.34 billion, including strategic advice on the technical and legal structuring of the project and its financing
  • Advising on the international issuance of bonds under Rule 144A and Regulation S of the U.S. Securities Act of 1933 by a major hydrocarbons company, for US$940 million
