She offers not only standard corporate secretarial services (incorporation of companies, share capital increases / reductions, appointment of corporate officers) but also provides advice and implements complex corporate operations (national and cross-border mergers, spin-off, issuance of securities, contributions, reorganisation, refinancing).

EXPERIENCE

  • Advising Montclair as part of the group’s reorganization (TUP – transfer of all assets and liabilities) and existing debt structure (capital increase and reduction not motivated by losses).
  • Advising the Ecolab group in connection with the reorganization of the group’s debt as well as the intragroup restructuring through the sale of a subsidiary followed by the dissolution of that subsidiary.
  • Advising Mondelez as part of the simplification of the group’s organizational structure (simplified merger).
  • Advising GE in connection with the reorganization of the Grid Solutions business through a business transfer and a partial asset contribution.
  • Advising Danaher as part of the simplification of the group’s organizational structure (merger of sister companies, partial asset contributions).
  • Advising large American groups in the context of reorganizations involving their French subsidiaries.
  • Advising Bridgepoint Development Capital in the reorganisation of the share capital and takeover of 5àsec.
  • Advice, in pro bono, of Biscornu for its first fund-raising.
  • Advised Banque des Territoires and Amundi Transition Energétique in setting up a partnership with the DBT group.
  • Advising Alto in the funding development of two THD projects in Occitanie.
