These rules bring significant regulatory changes to the ways private fund advisers operate their businesses and impose significant compliance costs. The rules will require advisers to consider policies and processes in the following areas at minimum: investor side letters and most-favored-nations processes; investor reporting; fee, expense, and performance disclosures to current and prospective investors; and adviser-led secondary transactions.
