DLA Piper advises Comunidad Feliz Holdings on cross-border sale of shares

DLA Piper advised Comunidad Feliz Holdings, Inc. (CF US), a building management software startup, on a Share Purchase Agreement with global leading software consolidator Visma.

The agreement involves the sale of 100 percent of Comunidad Feliz Chile shares, inclusive of subsidiaries Comunidad Feliz Mexico and CF Corredora. Structured as an initial acquisition of 55 percent of Comunidad Feliz Chile's shares, the remaining balance of the transaction will be divided into three tranches of 15 percent, each over a three-year period that will be contingent upon earn-outs.

Leveraging its cross-border capabilities, DLA Piper provided counsel in the due diligence process, prepared disclosure schedules, and facilitated an international reorganization prior to closing that ensured Comunidad Feliz Mexico became a subsidiary of Comunidad Feliz Chile. DLA Piper also designed the acceleration structure for outstanding employee stock options and the distribution of a dividend to CF US shareholders.
